- We verify every buyer and may refuse or cancel an order.
- No resale, transfer or re-export without our consent.
- Report transit problems within 7 days, quality claims within 30 days and before use.
- Our liability is limited to replacing the product or refunding its price.

Agreement

Acceptance of these terms
These terms govern every sale of products and services by gramsource (“we”, “Seller”) to the buyer (“you”, “Buyer”). By placing an order you accept them in full. They take precedence over any terms printed on or referred to in your purchase order, which do not apply unless we agree to them in writing. A contract is formed only when we confirm the order in writing after verification.
Use of the products

Research use only
All products are supplied for laboratory research and development only. They are not medicines, active pharmaceutical ingredients, dietary supplements, food, cosmetics or household products. They must not be administered to humans or animals, used for diagnosis or therapy, or incorporated into any product for sale. Peptides and other compounds are not approved by any regulatory authority for any use.

Qualified users and safe handling
Products may be handled only by trained persons working in a suitably equipped laboratory who are familiar with chemical hazards and laboratory procedures. The toxicological and physical properties of many research compounds have not been fully investigated, so every product should be treated as potentially hazardous. Read the safety data sheet before use. You alone are responsible for the safe receipt, storage, handling, use and disposal of the products and of any material made from them, in accordance with the laws that apply to you.

Prohibited uses
You may not use any product, or any material derived from it, to make a controlled substance, a chemical or biological weapon or its precursor, or anything else whose manufacture or possession is unlawful where you are. You may not use the products in any way that breaches the law or the rights of others.

No resale or transfer
Products are sold for use by the institution named on the order. You may not resell, give, transfer or export them to anyone else without our prior written consent.
Who may buy

Verification
We sell only to research institutions and companies we have verified, with checks scaled to each compound (how verification works). You agree to give accurate information and to provide proof of affiliation, a signed end-use certificate or other documents when asked.

Our right to refuse or cancel
We may decline any order, or cancel a confirmed order before shipment, without giving a reason — including where verification is incomplete, where information appears inaccurate, where the quantity or pattern of an order is unusual for research, or where the law or a carrier does not permit the shipment. If we cancel, we refund any amount you have paid for the cancelled items; we have no other liability for the cancellation.

False statements
If any statement you make in an order or end-use certificate is untrue, we may cancel the order and refuse future supply, and we may report the matter to the competent authorities where the law requires or permits.
Export and import

Compliance with trade laws
You are responsible for complying with the import, chemical-control, customs and other laws of the destination country, including obtaining any permit before shipment. You confirm that you and your institution are not named on, owned or controlled by anyone named on, any applicable sanctions or restricted-party list, and that you will not re-export, divert or transfer any product contrary to export-control or sanctions laws. We may hold or cancel any shipment that we believe could breach those laws.
Prices, payment and delivery

Quotations and prices
Prices are in US dollars. Prices shown on the website are for guidance and may change until we confirm your order. Written quotations are valid for 30 days unless they say otherwise. We may correct obvious pricing or description errors before confirmation.

Taxes, duties and charges
Prices exclude shipping, dangerous-goods and cold-chain charges, insurance, duties, import taxes, VAT, customs brokerage and inspection fees, and bank charges. All of these are payable by you unless we agree otherwise in writing.

Payment
No payment is taken on the website. After an order is placed, a member of our team contacts you personally to confirm the final price, shipping and payment — by card, bank transfer or institutional purchase order against our pro-forma invoice. We may require full payment in advance before we ship. Ownership of the products passes to you when we have received payment in full.

Delivery and risk
Delivery dates and lead times, including the 2–6 weeks stated for made-to-order products, are estimates and not guaranteed. Risk of loss or damage passes to you when the products are handed to the carrier. We are not liable for delays caused by carriers, customs, permits or verification. You are the importer of record unless we agree otherwise.
Inspection, claims and returns

Inspection on arrival
Inspect each delivery as soon as it arrives. Report any shortage, wrong item or damage in transit within 7 days of delivery, with photographs of the package and contents. Report any failure to meet the lot certificate of analysis within 30 days of delivery and before the product is used, with your analytical data. Products not reported within these periods are deemed accepted.

Test before use
You are responsible for confirming that a product meets its specification and is suitable for your purpose before you use it. We do not accept quality claims for material that has been used, other than the small amount needed to test it.

Returns
No product may be returned without our prior written authorisation. Because of their nature, opened products, temperature-sensitive products and made-to-order products cannot be returned, except where we supplied the wrong product or a product that does not meet its certificate of analysis.
Warranty and liability

Limited warranty
We warrant that each product, at the time of shipment, conforms to the specification on its lot certificate of analysis. This is our only warranty. To the fullest extent the law allows, we exclude all other warranties and conditions, express or implied, including those of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement.

Product information
Descriptions, structures, molecular data, reported research uses and literature references on our website and in our documents are given for information only. They are taken from published sources and suppliers’ documents, they are not a recommendation or a representation that a product is suitable or safe for any use, and the lot certificate of analysis prevails over them.

Your remedy
If a product does not meet the warranty and you report it in time, we will, at our option, replace it or refund the price paid for it. This is your sole and exclusive remedy.

Limitation of liability
To the fullest extent the law allows, our total liability arising out of or in connection with any order, whether in contract, tort (including negligence) or otherwise, is limited to the price paid for the products concerned. We are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data, research results, time or goodwill, or for the cost of experiments, even if we were told such loss was possible. Nothing in these terms limits liability that cannot be limited by law.

Your responsibility for use
You accept all risk and responsibility arising from the receipt, handling, storage, use, misuse and disposal of the products. You will indemnify and hold harmless gramsource and its staff against all claims, losses, damages, fines and costs (including reasonable legal fees) arising from your use, misuse, handling or disposal of the products, from any breach of these terms, or from your failure to comply with any law.

Intellectual property
We do not warrant that the products, or their use, do not infringe any patent or other right of a third party. You are responsible for obtaining any licence needed for your use.
General

Events beyond our control
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, war, government action, changes in law or export rules, carrier or customs disruption, supplier failure, power or network failure.

Governing law and disputes
These terms and every order are governed by the laws of the Republic of Korea. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The Seoul Central District Court has exclusive jurisdiction over any dispute, unless we agree with you in writing to resolve it by arbitration.

Other terms
These terms, together with our written order confirmation, are the entire agreement for each order. If any part of them is found invalid, the rest remains in force. Our not enforcing a term is not a waiver of it. We may update these terms; the version on this page when you place an order applies to that order. If these terms are translated, the English version prevails.
